The desktop app is currently free. No paid plan is sold.
The Japanese version is authoritative if translations differ. However, wording in another language does not adversely alter explanations presented to you or rights under consumer protection laws.
1. Application
These terms apply to the Nagi.md desktop app, web app, VS Code extension, and related services (the "product") provided by the sole proprietor in Japan identified in our commerce disclosure ("we"). As the product provider and operator, we develop, provide, and support the product. Nagi.md is a product name, not a separate company. Our legal name, address, and telephone number are disclosed without delay on request to support@nagi-md.com, with no purchase or fee required.
The terms bundled with the VS Code extension (LICENSE.txt) take precedence for that extension. If they differ from these terms, the bundled terms govern. Obtaining or using the product constitutes agreement to these terms. Review these terms and the commerce disclosure before purchasing. Rights that cannot legally be excluded or limited, including cancellation, refunds, and damages, remain unaffected.
2. Free use and future paid plan
The web app, VS Code extension, and desktop app are all currently free. The desktop app offers every feature, including editing, without a trial, sign-in, or purchase. Business use is permitted. To check whether free use is still in effect, the desktop app reads a configuration file from the official website when it can connect. It does not send device identifiers or documents. Editing remains available while offline. See our privacy policy for information handling.
We may start charging for editing in the desktop app. If we do, we will announce it on the website and in app release notes at least 30 days before charges begin. After that, reading, copying, printing, PDF export, and saving documents remain free. Your documents are never deleted.
3. Paid plan
No paid plan is currently sold. If we start charging, we will publish the right to use, price, payment and automatic renewal, trial, number of PCs, and cancellation conditions in these terms and on the website at least 30 days before charges begin.
4. Refunds
The following applies to refunds for a purchased paid plan. As this is a digital service, refunds for a change of mind are generally not offered. We handle refunds individually if our defect prevents use and cannot be fixed within a reasonable time, if billing is incorrect (such as a duplicate charge), or if the law gives you a refund right. This does not limit rights under the Paddle Buyer Terms or applicable law.
Contact support@nagi-md.com with your purchase date and email for refund requests. Do not send card numbers or authentication codes.
You can also contact Paddle Buyer Support directly about payments and refunds. We handle questions about using the product and product defects.
5. Your documents and information
Documents are handled on your device; the product has no feature that sends them to us. You retain rights to your documents. Auto-save cannot guarantee that data will never be lost. Back up important documents. Web drafts may be lost when browser data is cleared or storage limits are reached. This does not waive our liability, which is governed by the liability section.
See our Privacy Policy and Your data.
6. Prohibited conduct
- Bypassing entitlement checks or distributing means to bypass them.
- Redistributing or selling the product, except for open-source components used under their respective licenses. Copying, redistribution, and sale of the VS Code extension are governed by its bundled terms.
- Illegal conduct, infringement of our or others’ rights, unauthorized access, or disruption of services.
This does not restrict legitimate criticism or negative reviews, refund requests, complaints to authorities, vulnerability reporting, or interoperability analysis permitted by law.
7. Intellectual property and third-party software
Product rights belong to us or their rightful owners. Bundled open-source components have their own licenses, listed in the third-party notices. Themes named after products such as GitHub or Notion are independently created references to their appearance; we are unaffiliated with those companies.
8. Changes and discontinuation
We may change, add, or remove features. If we start charging for features that are currently free, we will give advance notice as described in "Free use and future paid plan." If we make major paid features unavailable for our own reasons, we will give advance notice and respond under applicable law. Treatment of undelivered periods on discontinuation follows the refund conditions and law.
9. Liability
Liability for the VS Code extension is governed by its bundled terms; the following limitations of liability do not apply to that extension. We accept liability where required by law. For damage caused by our ordinary negligence (excluding gross negligence), compensation is limited to actual, ordinary, direct damage. Total compensation is capped at the amount you paid for the product that caused the damage, or JPY 1,000 for a free product.
For business users who are not consumers, we accept no liability except for our intentional misconduct or gross negligence. These limits do not apply to intentional misconduct, gross negligence, injury to life or body, or liability that cannot be limited by law.
10. Contact and amendments
Contact support@nagi-md.com for support, refunds, or infringement reports. Notices are published on the website or in app release notes. We may amend terms to reflect legal or feature changes. Changes disadvantageous to you and their effective dates will be announced in advance on the website. Amendments follow applicable law.
11. Governing law, courts, and language
Japanese law governs these terms, without depriving consumers of mandatory protections in their country or region.
Unless otherwise agreed, disputes with non-consumer users are subject to the exclusive first-instance jurisdiction of the Japanese district or summary court with jurisdiction over our business location. Consumers retain access to courts permitted by law, including the right to sue in their place of residence.
These terms do not impose mandatory arbitration, a blanket class-action waiver, or a blanket shortening of statutory claim periods. If a provision is invalid, the rest remains effective to the extent allowed by law. Adopted October 11, 2026; last updated October 13, 2026.
